As part of my corporate finance practice, I represent borrowers and lenders in structuring and negotiating loan transactions. A large number of these transactions provided capital to growth stage technology companies located throughout the US, UK and EU and often involved taking security interests in a wide variety of collateral including intellectual property. These transactions typically include warrants and other equity components.
I have also represented financial institutions in structuring and documenting transactions in traded products such as interest rates, foreign exchange and commodities. To mitigate risk, these transactions are documented under ISDA master agreements, and generally include credit support annexes and guaranties from counterparties. As part of this practice, I advise clients on compliance with applicable US and foreign laws and regulations, including required regulatory filings, capital requirements, KYC and privacy.
My technology transactions practice involves the representation of clients licensing software or providing professional services such as applications design and development. Related to this, I also negotiate and provide advice on employment, consulting and confidentiality agreements for clients involved in these activities.
Finally, I represent clients in the formation and operation of their businesses, including the financing and M&A transactions that they may undertake.
